Terms of Service

Welcome to YTV Canada, Inc. These Terms of Service govern your access to and use of our website, services, and related materials. By accessing or using our services, you agree to be bound by these terms. If you do not agree with any part of these terms, you should not use our website or services.

Effective Date: May 1, 2026

1. Definitions

For the purposes of these Terms of Service:

  • Company (referred to as We, Us, or Our) means YTV Canada, Inc., located at 25 Dockside Dr, Toronto, ON M5A 0B5, Canada.
  • Services refers to the computer systems design, computer integrated systems engineering, and professional technical services offered by the Company.
  • Website refers to https://www.ytvwave.buzz, operated by YTV Canada, Inc.
  • You means the individual or legal entity accessing or using our Services.
  • Client means any person or organization that enters into a service agreement with the Company.

2. Services Overview

YTV Canada, Inc. provides professional services in the following areas:

  • Computer Systems Design: Architectural design, infrastructure planning, and system specification for enterprise computing environments.
  • Computer Integrated Systems Design: Integration of disparate hardware and software systems into cohesive, unified platforms.
  • Professional Scientific and Technical Services: Consulting, optimization, auditing, and managed technical services.

The specific scope, deliverables, timelines, and fees for any service engagement shall be defined in a separate service agreement or statement of work executed by both parties.

3. Intellectual Property Rights

Ownership of Deliverables

Upon full payment for services rendered, all intellectual property rights in the custom deliverables specifically created for a Client under a signed service agreement shall be transferred to the Client. The Company retains the right to use general knowledge, skills, and experience gained during the provision of services.

Company Intellectual Property

The Company retains all rights, title, and interest in its pre-existing intellectual property, including but not limited to methodologies, frameworks, software libraries, tools, and processes developed prior to or independently of any Client engagement.

Website Content

All content on our website, including text, graphics, logos, icons, and software, is the property of YTV Canada, Inc. or its content suppliers and is protected by Canadian and international copyright laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

4. Client Responsibilities

As a Client of our Services, you agree to:

  • Provide accurate, complete, and timely information necessary for the performance of services.
  • Designate a point of contact authorized to make decisions and provide approvals on behalf of your organization.
  • Provide reasonable access to your premises, systems, and personnel as required for service delivery.
  • Comply with all applicable laws and regulations in your jurisdiction.
  • Not use our services for any unlawful purpose or in violation of any applicable laws or regulations.

5. Fees and Payment

Fees for services shall be as set forth in the applicable service agreement or statement of work. Unless otherwise agreed in writing:

  • Invoices are due within thirty (30) days of the invoice date.
  • Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
  • The Company reserves the right to suspend services for accounts that are more than thirty (30) days overdue.
  • All fees are exclusive of applicable taxes, which shall be paid by the Client.

6. Limitation of Liability

To the maximum extent permitted by applicable law, YTV Canada, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with these terms or the use of our services.

The Company's total liability for any claim arising under these terms shall not exceed the total amount paid by the Client for the specific services giving rise to the claim during the twelve (12) months preceding the event giving rise to the liability.

7. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information disclosed during the course of any engagement. Confidential information shall not be disclosed to third parties without the disclosing party's prior written consent, except as required by law. This obligation survives the termination of any service agreement for a period of three (3) years.

8. Warranties and Disclaimers

The Company warrants that services will be performed in a professional manner consistent with industry standards. Services are provided on an as-is and as-available basis. To the fullest extent permitted by law, the Company disclaims all other warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Company does not warrant that the website or services will be uninterrupted, error-free, or free of harmful components. The Client assumes full responsibility for the selection and use of services to achieve intended results.

9. Termination

Either party may terminate a service agreement in accordance with the termination provisions set forth in the applicable agreement. In the absence of such provisions:

  • Either party may terminate for convenience upon thirty (30) days written notice.
  • Either party may terminate immediately if the other party commits a material breach that remains uncured for thirty (30) days after written notice.
  • Upon termination, the Client shall pay for all services rendered up to the effective date of termination.

10. Website Use and Acceptable Conduct

When using our website, you agree not to:

  • Violate any applicable laws, regulations, or third-party rights.
  • Attempt to gain unauthorized access to any part of the website or its systems.
  • Interfere with the proper functioning of the website, including introducing malware, viruses, or other harmful code.
  • Use any automated means to access, scrape, or data-mine the website without our express permission.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

11. Third-Party Links

Our website may contain links to third-party websites or services that are not owned or controlled by YTV Canada, Inc. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. You acknowledge and agree that the Company shall not be liable for any damage or loss caused by or in connection with the use of any such third-party websites or services.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding arising out of or relating to these terms shall be brought exclusively in the courts located in Toronto, Ontario, Canada.

13. Dispute Resolution

In the event of any dispute arising out of or relating to these terms or our services, the parties agree to first attempt to resolve the dispute through informal negotiation. If the dispute cannot be resolved within thirty (30) days, the parties agree to submit the dispute to mediation in Toronto, Ontario before resorting to litigation. The parties shall share equally the costs of mediation.

14. Force Majeure

Neither party shall be liable for any failure or delay in performing obligations under these terms if such failure or delay is caused by circumstances beyond that party's reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, government actions, pandemics, or failure of critical infrastructure.

15. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms of Service, together with any applicable service agreement, statement of work, and the Privacy Policy, constitute the entire agreement between you and YTV Canada, Inc. regarding the use of our website and services, superseding any prior agreements or understandings.

17. Changes to These Terms

We reserve the right to modify or update these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our website or services after any such changes constitutes your acceptance of the new terms. We encourage you to review these terms periodically.
